Terms of Service

1. Acceptance of Terms

By accessing or using Growzly (“the Service”), operated by Growzly Cloud LLC (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Description of Service

Growzly is a software-as-a-service (SaaS) platform that provides local and small businesses with tools for reputation management, review collection, unified messaging (SMS and email), lead tracking, social media scheduling, SEO auditing, and website analytics. The Service also includes companion products such as Reviewzly, Scoutzly, Roarzly, and Funnelzly. Features and availability may vary by subscription plan.

3. User Accounts & Responsibilities

To use certain features of the Service, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and account credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized access or security breach.
• Not share your account with any other person or entity without our prior written consent.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Subscription & Billing

Growzly offers free and paid subscription plans. Paid plans are billed on a recurring monthly basis through our payment processor, Stripe. By subscribing to a paid plan, you agree to the following:

• Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
• Price Changes: We may adjust pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
• Payment Processing: All payment transactions are processed securely by Stripe. We do not store your full credit card details on our servers.

5. Data Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

6. Intellectual Property

All content, features, functionality, trademarks, and intellectual property associated with the Service (including but not limited to the Growzly, Reviewzly, Scoutzly, Roarzly, and Funnelzly brands) are owned by Growzly Cloud LLC and are protected by applicable copyright, trademark, and other intellectual property laws.

You retain ownership of all data and content you submit to the Service. By submitting content, you grant us a limited, non-exclusive license to use, store, and process that content solely for the purpose of providing the Service to you.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Growzly Cloud LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service will immediately cease.
• You may request an export of your data within 30 days of termination by contacting us at hello@growzly.cloud.
• After the 30-day grace period, we reserve the right to delete all data associated with your account.

You may terminate your account at any time by using the account deletion feature in your settings or by contacting our support team.

9. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, notify you via email or through the Service. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in the State of Georgia.
